Terms of Service

1. Acceptance of terms
By accessing or using any AI Alpha Labs product, service, API, website, or research publication (collectively, "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Services. These terms apply to all visitors, users, and customers.
2. Services description
AI Alpha Labs provides AI benchmarking research, a discrepancy detection API, and audit and certification services for capital markets operations workflows. Specific terms governing API access, AAL Certified engagements, and Buy-side Audits are set out in the applicable service agreement or order form, which supplement these Terms.
3. Research and publications
All benchmark datasets, research publications, methodology documents, and evaluation results published by AI Alpha Labs are provided for informational purposes only. They do not constitute financial, legal, investment, or operational advice. Published accuracy figures reflect performance on AAL benchmark datasets under the stated conditions and should not be interpreted as guarantees of performance in production environments. Results may vary based on prompt design, model version, data characteristics, and deployment context.
4. API access
Access to the AAL discrepancy detection API requires a valid API key issued by AI Alpha Labs. API keys are non-transferable and must not be shared with third parties. You are responsible for all activity conducted under your API key. AI Alpha Labs reserves the right to suspend or terminate API access for violation of these terms, excessive usage, or any other reason at its discretion. The API is provided "as is" without warranty of uptime, accuracy, or fitness for a particular purpose. Production use of the API in regulated financial workflows is the sole responsibility of the customer.
5. AAL Certified and audit services
Certification and audit engagements are governed by a separate service agreement executed between AI Alpha Labs and the customer. AAL Certified badges and audit reports reflect benchmark performance under the stated conditions and methodology at the time of evaluation. They do not constitute a guarantee, warranty, or regulatory approval of any AI system. AI Alpha Labs makes no representation that a certified or audited system will perform at the same level in production. Certifications are valid for 12 months from the date of issuance unless otherwise specified in the service agreement.
6. Intellectual property
All benchmark datasets, scoring engines, methodology documents, research publications, software, and brand assets are the intellectual property of AI Alpha Labs. Published research is made available for informational and non-commercial use. Commercial use of AAL datasets, scoring engines, or evaluation infrastructure requires a written license agreement. The AAL name, logo, and "AAL Certified" badge are trademarks of AI Alpha Labs and may not be used without written permission.
7. Confidentiality
Where a customer engages AI Alpha Labs for a private audit or certification, AI Alpha Labs will not disclose the customer's identity, the system evaluated, or the results to any third party without the customer's written consent, except as required by law. Customers may not disclose AI Alpha Labs' proprietary evaluation infrastructure, pricing, or methodology beyond what is publicly published without prior written consent.
8. Limitation of liability
To the maximum extent permitted by applicable law, AI Alpha Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, arising from use of or inability to use the Services, even if AI Alpha Labs has been advised of the possibility of such damages. AI Alpha Labs' total liability to any customer for any claim arising from these Terms or the Services shall not exceed the fees paid by that customer in the three months preceding the claim.
9. Disclaimer of warranties
The Services are provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. AI Alpha Labs does not warrant that the Services will be uninterrupted, error-free, or free of harmful components.
10. Governing law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York.
11. Changes to terms
AI Alpha Labs reserves the right to modify these Terms at any time. Changes will be posted to aialphalabs.ai/terms with an updated effective date. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
